You must be at least 13 years of age to use UpReelz. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Platform, you represent that you have the legal capacity to enter into a binding agreement.

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Take responsibility for all activities that occur under your account

You may not create an account on behalf of another person without their explicit consent, or create multiple accounts to circumvent restrictions.

Allows you to log surf sessions, appear in photos (with your consent), purchase photos, earn royalties when photos of you sell, join Tribes, and participate in the community.

Allows you to upload photos, earn revenue from photo sales, build a portfolio and follower base, and access the Beach Upload PWA. By uploading photos, you represent that you have the right to upload and license the content.

Verified organizations may create shop profiles, manage Team and Tribe memberships, and post content. Subject to additional verification requirements.

You retain ownership of content you upload. By uploading, you grant UpReelz a non-exclusive, worldwide, royalty-free license to store, display, deliver, and create optimized versions for Platform operation and promotion. This license does not allow UpReelz to sell your content separately or transfer ownership.

Payouts are processed on the 1st of each month for the prior month's earnings. Minimum payout threshold is $25. Balances below threshold carry forward to the next month.

• Personal License ($12): Single personal use. No commercial use, no redistribution. May print for personal display.
• Editorial License ($45): Use in editorial, journalistic, or educational contexts. No paid advertising use. Must credit photographer.
• Commercial License ($180): Use in advertising, marketing, products, or commercial publications. Photographer credit required.

You may NOT upload:

• Any image or video generated in whole or in part by AI (including Midjourney, DALL-E, Stable Diffusion, Firefly, or similar tools)
• Any image substantially altered by AI tools to the extent that original photographic content is materially changed
• Deepfakes or synthetic media of any kind

Uploading AI-generated content is grounds for immediate account termination and forfeiture of any earned revenue held in your account.

• Content that infringes any third party's intellectual property rights
• Nude or sexually explicit content
• Content depicting minors in any inappropriate context
• Content that harasses, defames, or threatens any individual
• Spam, misleading content, or fraudulent listings

UpReelz Credits ("Credits") are a platform reward currency with no cash value and no cash redemption option. Credits cannot be transferred between accounts, sold, or exchanged for currency. Credits exist solely to unlock features and benefits within the UpReelz platform.

Credits may be earned through the following activities:

• Surfer Attribution: When you are identified in a photo or video that results in a completed sale — either through direct search for you by name, or through your public profile page generating a visit that converts to a purchase — UpReelz may award Credits at its discretion based on measured attribution.
• Referrals: When you refer a new member who creates a verified account using your personal referral link, you earn Credits. Bonus Credits are awarded when a referred photographer completes their first sale. Referral Credits are awarded after the referred member completes account verification. Self-referrals, duplicate accounts, and fraudulent referrals will result in Credit forfeiture and may result in account termination.
• Platform Participation: UpReelz may award Credits for other platform activities at its sole discretion, including but not limited to verified session logs, community tagging contributions, and promotional events.

Credits may be redeemed for the following within the UpReelz platform:

• Storage Upgrades: Additional photo and video storage beyond the free tier allocation.
• Premium Features: Access to advanced analytics, priority listing in search results, and other premium tools as made available by UpReelz.
• Print Discounts: Discounts on print orders fulfilled through our print partner, Prodigi. Discounts are applied at checkout and are non-stackable with other promotions.

Credits expire 24 months from the date they were earned if not redeemed. UpReelz will provide 60 days notice before expiring a Credit balance. Expired Credits are not recoverable.

Credits have no monetary value, cannot be converted to cash, and do not constitute property. Credits are not transferable upon account closure, death, or any other circumstance. Any unused Credits are forfeited upon account termination.

• Only photograph individuals in public spaces where there is no reasonable expectation of privacy
• Respond promptly to removal requests from individuals who appear in their photos
• Not upload photos where an identifiable individual has explicitly requested not to be photographed

By enabling identity matching in your account settings, you consent to UpReelz analyzing your facial features and surf style to identify you in photos, being notified when you are identified, and acknowledge your biometric data is not shared with third parties. You may withdraw consent at any time.

All surfers — whether registered or not — retain the right to:

• Request removal of any photo in which they appear
• Object to identity tagging at any time
• Be notified when they appear in a photo or video
• Control visibility of their session logs and profile

• Accurately describe items including condition, specifications, and any defects
• Honor agreed-upon prices and terms
• Meet buyers in safe, public locations
• Not list stolen, counterfeit, or prohibited items

• Stolen goods or counterfeit products
• Weapons, drugs, or illegal items
• Digital goods other than those expressly offered through the photo store

Trade ratings are based on completed transactions verified by both parties. Manipulation of ratings — including false reviews or incentivizing reviews — is prohibited and grounds for account suspension.

By joining a Tribe, you agree that your UpReelz username and avatar may appear on the shop's public profile, that Tribe membership is not an employment relationship, and that shops may remove members at any time. You may leave a Tribe at any time from your account settings.

You may belong to a maximum of 5 Tribes simultaneously.

Physical prints are fulfilled by Prodigi, a third-party print-on-demand service. UpReelz does not manufacture, ship, or handle physical prints. Delivery timelines are estimates. Refunds for defective or damaged prints must be requested within 14 days of delivery. UpReelz will facilitate refund requests with Prodigi but is not liable for Prodigi's fulfillment failures.

You may not use the Platform to:

• Violate any applicable law or regulation
• Infringe any intellectual property or privacy rights
• Harass, stalk, threaten, or intimidate any person
• Impersonate any person or entity
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Scrape or systematically extract data without written permission
• Use automated means to create accounts, upload content, or interact with the Platform
• Engage in any activity that could damage UpReelz's reputation or business relationships

You may close your account at any time from your account settings. UpReelz may suspend or terminate your account for violating these Terms, uploading AI-generated content, engaging in fraudulent classifieds activity, manipulating rankings or ratings, or harassing other members.

Earned revenue for legitimate sales prior to termination will be paid in the next regular payout cycle. Revenue may be forfeited if termination is for cause.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. UPREELZ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT PHOTOS ARE AUTHENTIC OR ACCURATELY DESCRIBED, OR THAT SURF CONDITION DATA IS ACCURATE OR CURRENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPREELZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. UPREELZ'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO UPREELZ IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

You agree to indemnify, defend, and hold harmless UpReelz LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, your content, your violation of these Terms, or your violation of any third-party rights.

Before initiating formal proceedings, contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Any unresolved dispute shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration shall take place in Florida. The arbitrator's decision shall be final and binding.

You agree to resolve disputes with UpReelz on an individual basis only. You waive your right to participate in class action lawsuits or class-wide arbitration.

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

We will provide at least 30 days' notice of material changes via email and a prominent Platform notice. Your continued use after the effective date constitutes acceptance of the revised Terms.

• These Terms constitute the entire agreement between you and UpReelz regarding the Platform
• If any provision is found unenforceable, the remaining provisions remain in full force
• Our failure to enforce any provision does not constitute a waiver
• You may not assign your rights under these Terms without our written consent
• These Terms do not create any partnership, joint venture, or employment relationship
